The Autherise platform is powered and supported by CapEdge Technologies, LLC and operated by Autherise Inc. Autherise Inc. operates in various territories and countries via its subsidiaries and partners.

Eligibility

To use our Service, you must:

• Have the legal authority to enter into binding contracts
• Not be prohibited from using the Service under applicable laws

Business Use

If you are using the Service on behalf of a business, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, "you" and "your" refer to both you individually and the entity you represent.

Autherise provides a cloud-based VAT compliance and tax management platform that helps businesses automate and manage their multi-jurisdictional tax obligations.

Service Availability

We strive to maintain 99.9% uptime for our Service. However, we do not guarantee uninterrupted access and may perform scheduled maintenance with reasonable notice to users.

Account Registration

To access the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Account Security

• Use a strong, unique password for your account
• Enable two-factor authentication when available
• Notify us immediately of any unauthorized access
• Do not share your account credentials with others

Organizations & Teams

You may create organizations and invite team members to collaborate. Organization administrators are responsible for managing user access and permissions within their organization.

API Access

API access may be provided subject to additional terms. API keys are confidential and must be protected. You are responsible for all API calls made using your credentials.

Subscription Plans

The Service is offered through various subscription tiers with different features and pricing. Current pricing and features are available on our website.

Free Trial

We may offer a free trial period. At the end of the trial, you will be required to select a paid subscription to continue using the Service. No credit card is required to start a trial.

Billing & Payment

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are non-refundable except as expressly stated herein
• We accept major credit cards and other payment methods as displayed
• You authorize us to charge your payment method for all applicable fees

Refund Policy

Annual subscriptions may be eligible for a prorated refund within the first 30 days if you are not satisfied with the Service. Monthly subscriptions are non-refundable.

Price Changes

We reserve the right to modify pricing with 30 days' notice. Price changes will take effect at the start of your next billing cycle.

You agree to use the Service only for lawful purposes and in accordance with these Terms.

• Submit false or misleading information to tax authorities
• Violate any applicable laws or regulations
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Use automated scripts to access the Service without permission
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to compete with Autherise
• Share or resell access to the Service without authorization

Autherise Ownership

The Service, including all content, features, and functionality, is owned by Autherise Inc.and is protected by international copyright, trademark, and other intellectual property laws.

License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes during your subscription period.

Your Content

You retain ownership of all data and content you upload to the Service. By uploading content, you grant us a license to use, process, and store that content solely for the purpose of providing the Service to you.

Trademarks

"Autherise" and our logos are trademarks of Autherise Inc.. You may not use our trademarks without prior written consent.

Data Processing Agreement

By using the Service, you acknowledge that we will process personal data on your behalf as a data processor. Our processing activities are governed by our Data Processing Agreement, available upon request.

Accounting Software

The Service may integrate with third-party accounting software. Your use of these integrations is subject to the terms and policies of the respective third-party providers.

Tax Authority Submissions

We may submit VAT returns and other filings directly to tax authorities on your behalf. You authorize us to act as your agent for these submissions and acknowledge that you remain responsible for the accuracy of all submitted information.

Payment Processors

Payments are processed by third-party payment providers. We do not store your complete payment card information on our servers.

Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTHERISE INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Liability Cap

Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the amounts paid by you to us in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless Autherise Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Any inaccurate data you submit through the Service
• Your tax filings and compliance obligations

Termination by You

You may cancel your subscription at any time through your account settings. Your access will continue until the end of your current billing period.

Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice, if:

• You breach these Terms
• You fail to pay applicable fees
• We are required to do so by law
• We discontinue the Service

Effect of Termination

Upon termination, your right to use the Service will cease immediately. We will retain your data for a reasonable period to allow you to export it, after which it may be deleted in accordance with our data retention policies.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the jurisdiction.

Class Action Waiver

You agree to resolve any disputes with us on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Notify you via email or through the Service for significant changes
